1.Introduction and acceptance

These Terms & Conditions (the Terms) form an agreement between DigitalRow Technologies, trading as EOM (DigitalRow, EOM, we, us, or our), and the person or organisation accessing our website, requesting a demonstration, creating an account, or using an EOM service (you or Customer).

By taking any of those actions, you confirm that you have read and accepted these Terms. If you accept them for a company or another organisation, you confirm that you have authority to bind that entity. If you do not agree, do not access or use EOM.

2.About EOM

EOM is an ecommerce operations platform developed and operated by DigitalRow Technologies. Depending on the services selected, EOM may support WhatsApp commerce, catalogues, AI-assisted ordering, customer communications, agent-assisted service, order and fulfilment management, delivery operations, site or rider management, and operational analytics.

The precise features available to a Customer depend on its plan, configuration, supported region, integrations, and any signed proposal, order form, or service agreement.

3.Eligibility and accounts

You must be at least 18 years old, have legal capacity to enter into a contract, and use EOM only for a lawful business or professional purpose. You must provide accurate, current information and keep it up to date.

  • Only authorised users may access a Customer account.
  • Credentials must be kept confidential and must not be shared.
  • The Customer is responsible for permissions granted to its users and for activity carried out through its account.
  • Suspected loss, misuse, or unauthorised access must be reported to us promptly through the Contact Us page.

4.Business responsibilities

Each Customer remains responsible for its business, its relationship with end customers, and the accuracy and legality of the information it makes available through EOM. This includes product descriptions, prices, availability, taxes, promotions, customer-service statements, fulfilment, delivery, cancellations, returns, and refunds.

The Customer must provide all notices, obtain all permissions and consents, and establish every other lawful basis required to contact people or process their information. A Customer must not submit content or personal information that it has no right to collect, use, disclose, or instruct us to process.

5.WhatsApp and third-party services

EOM can interoperate with services supplied by other organisations, including Meta and WhatsApp, infrastructure providers, payment or communications providers, and Customer-selected integrations. Use of a third-party service may be governed by that provider's own terms, policies, eligibility rules, and charges.

DigitalRow does not control third-party availability, approval processes, policy or price changes, account restrictions, suspensions, or service decisions. We are not responsible for a third-party service except to the extent expressly agreed in writing or required by law.

6.AI-assisted functionality

Some EOM features use automated or artificial-intelligence systems to assist conversations, product discovery, customer support, or ordering. AI-generated output may be incomplete, inaccurate, outdated, or inappropriate for a particular situation and must receive suitable human review.

Customers remain responsible for their configurations, business decisions, customer commitments, regulated advice, prices, orders, and fulfilment. EOM must not be used to create unlawful, deceptive, discriminatory, abusive, or otherwise harmful content or decisions.

7.Acceptable use

You must not use EOM, or help anyone else use EOM, to:

  • break any law, send unlawful or unsolicited messages, commit fraud, harass people, or infringe intellectual-property or privacy rights;
  • distribute malware, steal credentials, impersonate another person, conduct unauthorised surveillance, or collect data unlawfully;
  • probe, scan, overload, disrupt, or circumvent the security or access controls of EOM except under our Security Policy;
  • scrape, reverse engineer, copy, resell, or create a derivative of EOM except where applicable law expressly permits it; or
  • bypass usage or plan limits, interfere with another Customer, or try to access another Customer's account, content, or data.

8.Orders and transactions

EOM provides software that helps Customers manage commerce operations. Unless a separate written agreement expressly says otherwise, DigitalRow is not the merchant, purchaser, seller, courier, payment provider, or contracting party in a transaction between a Customer and its own customer.

The EOM Customer is responsible for accepting or rejecting orders, collecting payment, issuing receipts, meeting consumer obligations, providing products or services, and resolving disputes with its customers.

9.Commercial terms

Fees, billing periods, usage allowances, taxes, renewal, cancellation, support, and service levels are governed by the applicable proposal, subscription, order form, or other commercial agreement. If a signed commercial agreement conflicts with these Terms, that agreement takes priority for the conflicting subject.

You are responsible for applicable taxes and charges imposed by third-party services unless the relevant agreement states otherwise.

10.Customer content and data

As between the parties, the Customer retains ownership of business and customer content it submits to EOM. The Customer grants DigitalRow a limited right to host, copy, transmit, organise, display, secure, troubleshoot, and otherwise process that content only as needed to provide, protect, support, and improve the agreed services or comply with law.

Customers should retain lawful copies or exports required for their own records and continuity obligations. Our processing of personal information is further described in the Privacy Policy.

11.EOM intellectual property

DigitalRow and its licensors retain all rights in EOM, including its software, interfaces, designs, documentation, workflows, trade marks, branding, and improvements. Subject to these Terms and the applicable commercial agreement, we grant the Customer a limited, non-exclusive, non-transferable, revocable right to use the selected services for its internal business operations.

If you provide suggestions or feedback, you permit DigitalRow to use them without restriction or payment, provided we do not publicly identify you without permission.

12.Confidentiality

Each party will use reasonable care to protect non-public business, technical, and commercial information received from the other party and will use it only for the relationship between them. This duty does not cover information that is public through no breach, was lawfully known already, is independently developed, or is lawfully received without a confidentiality duty.

A party may disclose information where legally required after giving notice when the law permits and taking reasonable steps to limit the disclosure.

13.Availability and changes

We may maintain, update, replace, or discontinue features to improve security, performance, compliance, or usefulness. EOM may experience planned maintenance, technical interruption, or third-party outages. We will take reasonable steps to communicate material changes when appropriate.

No specific uptime, recovery time, or service level applies unless it is included in a separate written service-level agreement.

14.Suspension and termination

We may restrict or suspend access where reasonably necessary to address a security risk, prevent unlawful or harmful use, comply with a legal or third-party requirement, respond to non-payment under commercial terms, or address a material breach. Where practical, we will provide notice and an opportunity to resolve the issue.

On termination, the right to use EOM ends. Provisions that are intended by their nature to continue—including payment, confidentiality, intellectual property, disclaimers, liability, and dispute provisions—remain effective.

15.Disclaimers and liability

EOM is provided subject to applicable law and the express commitments in any signed agreement. To the fullest extent the law permits, implied warranties are excluded and DigitalRow is not responsible for indirect, incidental, special, or consequential loss; lost profits, revenue, or opportunities; Customer-controlled transactions; or third-party services and conduct.

Nothing in these Terms excludes or restricts liability that cannot lawfully be excluded or restricted. Any additional liability limit in a signed commercial agreement applies as stated there.

16.Indemnity

To the extent permitted by law, a Customer will defend and indemnify DigitalRow against third-party claims, losses, and reasonable costs arising from the Customer's unlawful content, failure to obtain required permissions, misuse of EOM, infringement of another person's rights, or material breach of these Terms.

17.Governing law, changes, and contact

These Terms are governed by the laws of Zimbabwe. Unless a signed agreement provides another process or forum, disputes are subject to the competent courts of Zimbabwe.

We may update these Terms when EOM, our practices, or applicable laws change. We will publish the revised date and provide additional notice of material changes where appropriate. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
